1. Introduction

If you disagree with any part of these terms, then you do not have our permission to access or use our services.

These Terms constitute a legally binding agreement between you and Riverpoint Media. Please read them carefully as they affect your legal rights and obligations.

2. Nature of Our Services

Riverpoint Media provides professional digital strategy, content creation, video production, and marketing services. Specific details regarding the scope of services, deliverables, timelines, and fees will be outlined in a separate Service Agreement or Proposal ("Statement of Work") agreed upon by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our services.

3. Client Responsibilities

As a client of Riverpoint Media, you agree to the following responsibilities:

• Provide accurate, complete, and current information necessary for us to perform the services.
• Obtain all necessary rights, permissions, and consents for any materials you provide to us for inclusion in your projects.
• Respond to our communications in a timely manner to avoid project delays.
• Ensure that your use of the final deliverables does not violate any applicable laws or third-party rights.
• Provide feedback and approvals within the timeframes specified in the Statement of Work.

4. Fees and Payment Terms

Our fees are quoted in Euro (€) or other agreed currencies and are exclusive of Value Added Tax (VAT) or other applicable taxes unless stated otherwise.

• Deposits: A non-refundable deposit, typically 50% of the total project fee, is required to commence work.
• Progress Payments: Interim payments may be required based on project milestones.
• Final Payment: The final balance is due prior to the release of final master files or the launch of a campaign.
• Late Payments: We reserve the right to suspend services for late payments. Interest may be charged on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law.

5. Intellectual Property Rights

5.1. Your Materials

You retain all ownership rights in any text, images, data, or other materials you provide to Riverpoint Media ("Client Materials"). By providing Client Materials, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display them solely for the purpose of providing the services to you.

5.2. Our Materials

Riverpoint Media retains all intellectual property rights in our pre-existing methodologies, software, code, templates, and general knowledge ("Background IP").

5.3. Deliverables

Subject to full payment of our fees, Riverpoint Media assigns to you all intellectual property rights in the specific custom deliverables created for you under the Statement of Work ("Work Product"). This assignment does not include our Background IP. We reserve the right to use the Work Product for our portfolio, marketing, and promotional purposes unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the term of our service relationship ("Confidential Information"). This includes business plans, customer lists, technical data, and marketing strategies.

We will not disclose your Confidential Information to any third party except as required by law or to perform the services. Our obligations regarding confidentiality shall survive the termination of these Terms.

7. Limitation of Liability

To the fullest extent permitted by law, Riverpoint Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our website or services.
• Any conduct or content of any third party on the website.
• Any content obtained from the website.
• Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.

Our total liability to you for all claims under these Terms shall not exceed the total amount you paid to us under the applicable Statement of Work.

8. Indemnification

You agree to defend, indemnify, and hold harmless Riverpoint Media and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

9. Termination

Riverpoint Media reserves the right to terminate your access to our services or these Terms at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the services shall be resolved through good faith negotiation. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Ireland.

11. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs the website and informs users of our data collection practices. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Riverpoint Media acts as a Data Controller for client data provided to us. We comply with the General Data Protection Regulation (GDPR) and the Data Protection Act 2018.
